Standard Clauses and Insurance Limits

Indemnification. Client hereby releases the University, including, but not limited to, all past and present directors, trustees, officers, employees, agents, insurers, attorneys, and any other party associated with Xavier University, (collectively, "Affiliates") from any and all claims, including negligence, that may arise out of Client's performance of this Agreement, whether foreseen or unforeseen, known or unknown, and Client assumes full responsibility for any injuries, damages, or losses that may arise out of Client's performance of this Agreement. Client hereby agrees to indemnify and hold harmless the University and its Affiliates from any and all liabilities and claims that may arise out of or in connection with (i) any actions, whether of omission or commission, that may be committed by Client (or any of its past and present directors, trustees, officers, employees, agents, insurers, attorneys, and any other party associated with Xavier University, where applicable) in connection with or arising from Client's performance of this Agreement, or (ii) any breach by Client of any term, condition, or representation contained in this Agreement, whether foreseen or unforeseen, known or unknown, together with any costs and expenses (including reasonable attorney fees) that may be incurred by the University in defending any such claim.

Insurance. At all times Client shall maintain and cause its subcontractors to maintain, through a reputable carrier licensed to do business in the State of Ohio, comprehensive liability insurance including general liability and property damage with minimum limits of $1,000,000 per occurrence and $2,000,000 aggregate. Such policy shall be on a primary and non-contributory basis and will contain no terms allowing the insurer to be subrogated to the rights of any injured or damaged person or entity insofar as said person may have claims against the University. Such policy shall name Xavier University, all past and present directors, trustees, officers, employees, agents, insurers, attorneys, and any other party associated with Xavier University, as an additional insured. Client will provide the University with satisfactory proof of insurance upon execution of this Agreement. Client shall immediately notify the University in writing of any lapse, cancellation, or modification of the insurance coverage required herein. The terms and conditions of this Section shall survive expiration, termination, and cancellation of this Agreement. The requirements stated in this paragraph may only be waived or amended with written consent of the University's Risk Management Office.

Liquor Liability. In order to comply with State of Ohio liquor license requirements, no alcohol of any sort may be served, furnished, or sold on the University campus except by the University, the licensed liquor permit holder, and its food service provider.
